Learning Linx, Inc. — Terms of Service

These Terms of Service ("Terms") govern your access to and use of services provided by Learning Linx, Inc. ("Learning Linx," "we," "us," or "our"), including our website, client portal, and educational and clinical services.
By using our services, you agree to these Terms. If you do not agree, do not use our services.
1. Eligibility
You must be at least 18 years old to create an account or contract for services. You must be the parent or legal guardian of any minor participant receiving services, or have written authorization from such parent or guardian.
2. Services Offered
Learning Linx offers educational services (academic development, ADHD coaching) and clinical services (speech-language pathology, occupational therapy, polyvagal-informed therapy). Clinical services are provided by professionals licensed in the State of Illinois.
Specific service descriptions, frequencies, and goals are agreed upon between you and your assigned provider during intake and documented in your service plan.
3. Account Responsibilities
You are responsible for:
• Providing accurate and current information
• Keeping your account login credentials confidential
• All activity conducted through your account
• Notifying us promptly of any unauthorized account use
4. Payment Terms
Fees for services are described in your service plan or invoice. Payment is due according to the schedule on each invoice. We may suspend services for accounts with overdue balances, subject to applicable continuity-of-care requirements for clinical services.

5. Cancellation and No-Show Policy
Cancellation timing and applicable charges are described in your service agreement and in your portal at the time of booking. In general:
• Cancellations made 24 or more hours before a session: standard cancellation fee may apply per your service plan
• Cancellations made less than 24 hours before a session: full session fee
• No-shows: full session fee plus a no-show fee
Specific terms apply to monthly session plans and are described in the plan agreement.
6. Confidentiality and Privacy
Our handling of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7. Intellectual Property
All content on our website, in our portal, and in materials we provide (excluding information you provide) is owned by Learning Linx or its licensors. You may use materials we provide for your personal use only. You may not redistribute, modify, or use such materials for commercial purposes without our written permission.
8. Electronic Communications
By creating an account, you consent to receive electronic communications from us regarding your account and services, including email, SMS (subject to separate opt-in described in our SMS Notification Policy), and notifications through your portal.

9. Prohibited Uses
You may not:
• Use our services for any unlawful purpose
• Attempt to access accounts or information that do not belong to you
• Interfere with the operation of our website, portal, or services
• Reverse engineer or copy proprietary aspects of our portal or materials
• Misrepresent your identity or relationship to a participant
10. Disclaimers
Educational services do not constitute clinical diagnosis or treatment. Clinical services are provided by licensed professionals but do not replace primary medical care. Information in your portal and progress reports is for service coordination and is not a substitute for direct provider-to-client communication.
OUR SERVICES ARE PROVIDED ON AN "AS IS" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, EXCEPT THOSE THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.


11. Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of or related to your use of our services is limited to the amount you paid us for services in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
This limitation does not apply to liability for professional malpractice of licensed clinicians, which is governed by applicable law and licensure rules.

12. Indemnification
You agree to defend, indemnify, and hold harmless Learning Linx and its employees, contractors, and licensors from any claim, liability, or expense arising from your violation of these Terms or your misuse of our services.
13. Termination
We may suspend or terminate your account if you violate these Terms or for other reasons described in your service agreement. You may close your account at any time by contacting us. Termination does not relieve you of obligations incurred before termination (e.g., outstanding fees) or affect record-retention obligations described in our Privacy Policy.
14. Governing Law
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles. Disputes will be brought exclusively in the state or federal courts located in McHenry County, Illinois, and you consent to personal jurisdiction in those courts.
15. Changes
We may revise these Terms from time to time. If we make material changes, we will notify you and post the revised Terms on our website with a new effective date. Continued use of our services after the effective date constitutes acceptance.
